01Agreement to these Terms

These Terms and Conditions govern your access to and use of Creativly, including our website, Flow, project workspace, generation tools, editing tools, sessions, assets, uploads, account features, paid plans, credits, and related services (together, the "Service").

By creating an account, using the Service, starting a generation, uploading content, saving a bring-your-own-key provider key, buying credits, or subscribing to a plan, you agree to these Terms. If you use Creativly for a company or other organisation, you confirm that you have authority to bind that organisation.

If you do not agree to these Terms, do not use the Service.

02What Creativly Provides

Creativly is an AI creation platform for image, video, audio, and text generation and editing. The Service includes visual workflows in Flow, node and set based generation, prompt and reference workflows, AI-assisted project and session tools, uploaded and generated assets, model selection, provider selection, exports, and related workspace features.

Some features run through Creativly-managed provider accounts and platform credits. Other features may let you connect your own third-party API keys through BYOK. Available models, providers, features, quotas, credit costs, speeds, limits, and output behaviour may change as providers, costs, safety requirements, and product capabilities change.

Creativly is a creative production tool. Outputs can be inaccurate, unexpected, incomplete, similar to content generated for other users, or unsuitable for a particular use. You are responsible for reviewing outputs before relying on, publishing, licensing, or commercialising them.

03Accounts and Security

You must provide accurate account information and keep your sign-in credentials secure. You are responsible for activity under your account, including activity by anyone you allow to use it.

Tell us promptly if you believe your account, project, shared link, provider key, or billing access has been compromised. We may suspend access, rotate sharing links, revoke sessions, or take other reasonable steps where needed to protect the Service, users, providers, or the public.

You may not share paid account access in a way that avoids usage limits, plan limits, provider rules, or billing requirements.

04Your Content, Uploads, and Outputs

"User Content" means prompts, instructions, text, images, video, audio, files, reference assets, project data, session data, chat messages, workflow graphs, provider keys, and other materials you submit to or create in the Service. "Outputs" means AI-generated or AI-edited images, video, audio, text, metadata, previews, and other results returned through the Service.

As between you and Creativly, you retain the rights you have in your User Content. We do not claim ownership of your User Content or Outputs. You grant Creativly a limited licence to host, store, copy, transmit, display, modify, process, and create technical derivatives of User Content and Outputs only as needed to operate, secure, troubleshoot, improve, and provide the Service, comply with law, enforce these Terms, and support user-requested sharing or exports.

You are responsible for ensuring you have the rights, consents, releases, and permissions needed for the User Content you upload or reference, and for your use of any Output. This includes rights relating to likeness, voice, privacy, publicity, copyright, trademarks, confidential information, training data restrictions, and third-party platform rules.

AI outputs may not be unique. Other users may receive similar or identical outputs, especially where prompts, model settings, reference material, or common concepts overlap. Creativly does not guarantee that Outputs are protectable, non-infringing, commercially usable, accurate, or free from third-party rights claims.

05AI Providers and BYOK/API Keys

Creativly uses third-party AI, infrastructure, storage, authentication, payment, email, analytics, and security providers to operate the Service. For AI work, this may include provider processing of prompts, reference assets, uploads, generated media, parameters, and technical metadata.

When you use platform credits or Creativly-managed providers, Creativly sends the required job data to the relevant provider so the requested generation, edit, analysis, transcription, or workflow step can run.

When you save a BYOK/API key, you confirm that you own or are authorised to use that key, that you will follow the provider terms that apply to it, and that Creativly may use the key only to perform user-initiated jobs and related status checks for your account. You remain responsible for charges, limits, suspensions, provider account issues, and provider terms connected to your own keys.

Saved provider keys are intended to be encrypted server-side and may show only limited metadata such as provider, name, status, creation date, and last four characters. You can delete saved keys from your account settings. Do not submit keys that you are not allowed to use with Creativly.

06Credits, Billing, and Subscriptions

Creativly offers free, BYOK, platform credit, and other paid plans as described on the pricing page or inside the Service. Paid plans may include monthly credits, access to premium workflows, platform-managed models, higher usage limits, storage quotas, exports, or priority features.

Credits represent access to compute-backed generation, editing, processing, or workflow actions. Credit costs vary by model, media type, provider, duration, quality, feature, and settings. We may update credit pricing, plan allocations, feature availability, or provider routing to reflect actual compute cost, provider availability, abuse prevention, or product changes.

Credits are consumed when a job is submitted, reserved, started, or completed according to the product flow for that feature. Because AI jobs use third-party and internal compute, consumed credits are non-refundable except where required by law or where Creativly determines that a platform-side failure prevented the requested job from being processed.

Subscriptions renew automatically until cancelled unless the checkout flow says otherwise. You authorise Creativly and its payment processor to charge applicable fees, taxes, renewals, upgrades, and plan changes. You can cancel through the billing portal or account settings where available. Cancellation stops future renewals but does not automatically refund past charges, consumed credits, or already used compute.

Unused credits, rollover rules, storage quotas, usage caps, free daily generations, and plan features may depend on your current plan and may expire, reset, or be limited as described in the Service. We may correct pricing or billing errors and may suspend paid features if payment fails.

07Acceptable Use

You must use Creativly lawfully and responsibly. You may not use the Service to create, upload, edit, distribute, automate, or assist with illegal content, abuse, malware, deceptive activity, rights infringement, privacy violations, harassment, sexual exploitation, non-consensual intimate content, impersonation, fraud, spam, evasion of safety systems, or attempts to gain unauthorised access to systems, accounts, data, provider infrastructure, or billing features.

You may not use Creativly to generate or modify content involving a real person, voice, likeness, brand, copyrighted work, private information, or protected attribute in a way that violates law, third-party rights, applicable platform rules, or a person's consent and safety.

Additional restrictions are set out in our Acceptable Use Policy. If there is a conflict between these Terms and the Acceptable Use Policy for prohibited conduct, the stricter rule applies.

08Projects, Sessions, Assets, Sharing, and Storage

The Service may store projects, Flow graphs, sessions, chat state, generated artifacts, uploaded files, thumbnails, previews, posters, asset metadata, usage records, and sharing settings so you can continue work across devices and sessions.

Uploads and generated assets may be subject to file type, file size, moderation, scan, storage, quota, and retention limits. We may block, remove, quarantine, or restrict access to files or outputs that appear unsafe, illegal, infringing, abusive, technically harmful, or outside supported formats.

If you create public or private share links, anyone with access to those links may view the shared content according to the permissions selected. You are responsible for managing links, collaborators, exported files, and any distribution outside Creativly.

Deleting a file, project, session, provider key, or account may remove it from active product views, but deletion from backups, logs, provider systems, payment records, security records, and required business or legal records may take longer or may not be possible where retention is needed for lawful purposes.

09Feedback and Product Changes

If you send feedback, ideas, bug reports, feature requests, workflow examples, or suggestions, you allow Creativly to use them without restriction or compensation. This does not give us ownership of your underlying User Content.

We may add, remove, pause, rate limit, deprecate, or modify features, models, providers, workflows, credit costs, quotas, or integrations. We may also interrupt the Service for maintenance, security, provider outages, capacity limits, legal requirements, or operational reasons.

10Third-Party Services

Third-party services are not controlled by Creativly. Their terms, privacy policies, rate limits, safety filters, output restrictions, retention practices, and billing rules may apply to your use of their services through Creativly.

Creativly is not responsible for third-party provider downtime, model behaviour, moderation decisions, pricing changes, API changes, provider account suspensions, third-party billing, or third-party processing outside Creativly's reasonable control.

11Intellectual Property in the Service

Creativly, the Service, software, interfaces, workflows, designs, documentation, trademarks, logos, and other product materials are owned by Creativly or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own lawful creative and business purposes. You may not copy, resell, reverse engineer, scrape, interfere with, or exploit the Service except as allowed by law or by written permission from Creativly.

12Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, Creativly disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, security, and reliability.

Creativly does not provide legal, financial, medical, professional, IP-clearance, rights-clearance, or moderation advice. You are responsible for deciding whether a prompt, upload, workflow, output, license, claim, publication, export, or commercial use is appropriate for your intended use.

We do not guarantee that generated or edited content will meet your expectations, pass third-party platform review, be accepted by payment or advertising networks, be legally protectable, be available for exclusive use, or be free from defects, artifacts, bias, hallucinations, or rights concerns.

13Limitation of Liability

To the fullest extent permitted by law, Creativly will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, content, goodwill, business opportunity, revenue, provider account access, or third-party charges arising from or related to the Service.

To the fullest extent permitted by law, Creativly's total liability for all claims relating to the Service is limited to the greater of the amount you paid to Creativly for the Service in the three months before the event giving rise to the claim or GBP 100.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

14Indemnity

You agree to defend, indemnify, and hold harmless Creativly from claims, damages, losses, liabilities, costs, and expenses arising from your User Content, Outputs, use of the Service, BYOK/API keys, violation of these Terms, violation of law, or infringement or misappropriation of third-party rights.

15Suspension and Termination

You may stop using the Service at any time and may delete your account where account deletion is available. You remain responsible for charges, disputes, and obligations incurred before deletion or cancellation.

We may suspend or terminate access to all or part of the Service if we reasonably believe you violated these Terms, created risk for Creativly, users, providers, payment systems, or the public, caused or attempted abuse, failed to pay, or if continued access would violate law or third-party requirements.

After termination, provisions that by their nature should survive will continue, including sections on billing, content responsibility, intellectual property, disclaimers, liability limits, indemnity, disputes, and contact.

16Disputes

Before starting a formal dispute, please contact legal@creativly.ai with your account email, a description of the issue, and the outcome you are seeking. We will try to resolve disputes informally where practical.

Either party may seek urgent relief where needed to protect security, confidential information, intellectual property, payment systems, provider access, users, or the public. Nothing in these Terms prevents either party from using rights or remedies that cannot be waived under applicable law.

17Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new last updated date. If changes are material, we will take reasonable steps to provide notice through the Service, email, or another appropriate channel.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
